5. Covenants

The parties to this Deed covenant and agree as follows:

 

5.1The ITB covenants that it-
5.1.1has complied with all obligations contained in any agreement with a Third Party;
5.1.2Will co-operate with the SETA in procuring that rights similar to those presently held by it under licenses, intellectual property and any other registrations in relation to its Business will be granted in favour of and transferred to the SETA upon signature of this Deed;
5.1.3has obtained the written consent from Third Parties that rights in terms of an agreement, can be ceded to a SETA;(annexed in Annexure Nine hereto);
5.1.4shall comply with the representations and warranties given in clause

 

5.2Government covenants to SETA’s and Third Parties that it -
5.3.1will accept transfer of all the Assets, Rights, Liabilities and Obligations reflected and annexed to this Deed, from the ITB;
5.3.2it will accept transfer, in particular, of all apprenticeship agreements and the administration related thereto;
5.3.3insofar as any obligation in terms of any provisions of this Deed have not been performed by the ITB as at the Effective Date, the SETA will accept liability to settle an obligation and liability and will request Government’s assistance where necessary;
5.3.4shall comply with the representations and warranties given in clause
