4. Representations and Warranties

4.1Representations and Warranties by the ITB:
4.1.1The Board Members and officials of the training board hereby represent and warrant in their official and personal capacities, subject to the information contained in the disclosure schedule, that the representations and warranties furnished in this Deed as set out hereunder are both true and correct and that there is no omission of any fact that will cause such warranties to be null and void, as at the Effective Date.
4.1.2The Board Members and officials of the training board represent and warrant that:
4.1.2.1The Board has complied with the provisions of the Manpower Training Act in every material respect.
4.1.2.2The Board has furnished the parties to this Deed with correct information relating to the Assets, Rights, Liabilities and Obligations contained in the annexures to this Deed.
4.1.3The Board Members and officials of the Training Board hereby represent and warrant that the financial state and affairs of the ITB were administered in accordance with generally accepted accounting principals.
4.1.4The Board is not aware of any other material facts or circumstances that have not been disclosed to the SETA or Government.

 

4.2Representations and Warranties by Government:
4.2.1The Minister hereby represents and warrants that he will assist a SETA in terms of section 9(3) of the Act.

 

4.3Representations and Warranties by the SETA:
4.3.1The SETA hereby represents and warrants that it will comply with all the provisions of the Act, the transitional provisions and the Regulations thereto, in respect of the transfer of Assets, Rights, Liabilities and Obligations.
